The Articles of Association



These articles of association were unanimously approved by the active members present at the Extraordinary General Meeting of October 27th, 2007.

Article 1 – Name
Is hereby established a not-for-profit society governed by the law of July 1st 1901 and the following texts, bearing the name of the "Association des amis de l'Euro"

 

Article 2 – Aims
The society's aim is to promote the study and collection of Euro coins and notes and increase knowledge and awareness of European numismatics and coin collecting amongst society members and the general public.

 

Article 3 – Head Office
The Head Office is located at :
Paris (2nd arrondisement), 36 rue Vivienne
The location of the Head Office may be transferred to another address by decision of the Executive Board, subject to ratification at the General Meeting.

 

Article 4 - Duration
The duration of the society shall be unlimited.

 

Article 5 - Members
The society includes honorary members, active members and members.

Active members have either a permanent or a less regular role within the society. They are awarded this role by decision of the Executive Board subject to approval by a four fifths majority of Executive Board members.
Members benefit from the services of the society, or demonstrate their support of the society through their membership of the society, but do not perform a specific task within the society. They are accepted as members by decision of the Executive Board, subject to approval by a simple majority of Executive Board members.

 

Article 6 – Loss of membership status
Membership status is lost through resignation, death or explusion decided on by the Executive Board.

Expulsion is decided on in the event of :
- non-payment of membership fees (after a period of three months after payment is due). No formal warning is required in this case.
- damage, of whatever kind, caused to the society.
Expulsion for non-payment of membership fees is automatic. No prior written warning will be given.

 

Article 7 – Means of action
The means of action available to the society are :
  1. Les cotisations de ses membres,
  2. Publications or lectures and all audiovisual media ;
  3. Grants and various subsidies, in accordance with the Law ;
  4. Any other legally authorized resources.
The annual membership fee (set by the Executive Board) is payable on joining and thereafter, on January 1st of each year.

It is also possible to take out life membership of the society (the life membership fee is also set by the Executive Board).

Active and honorary members may, at their request, have their membership fees waived.

 

Article 8 – The Executive Board
The Executive Board is composed of five members, elected for one year by the active members during the General Meeting. Executive Board members may stand for re-election.

The Executive Board manages the society and oversees the implementation of decisions taken during the General Meeting.

It meets as frequently as necessary, at least once a year, being convened by the Executive Board President. An extraordinary meeting of the Executive Board may be convened within a maximum time limit of fifteen days following a written request by at least two members of the Executive Board.

The Executive Board may extend an invitation to come to meetings or to sit on the board to any individual whose presence would be useful in helping the Executive Board carry out its functions.

The decisions of the Executive Board are valid if three or more of its members are present or represented.

The members of the Executive Board may receive no financial remuneration as a result of the work that they carry out. Only the reimbursement of receipted expenses is allowed.

 

Article 9 - The Board
The Executive Board elects the Board from amongst its members, this being composed of a President, potentially a Vice-President, a Secretary General and a Treasurer.

In the event of disagreement, the most senior Board member is elected President, the second most senior is elected Secretary General. When two people are equally senior in terms of membership, the older person will be elected President.

The President ensures the smooth running of the Society : he convenes the Executive Board, the Board, General Meetings, draws up the agenda for meetings, chairs debates and ensures implementation of the decisions taken. He represents the Society in all acts of civil life and notably has the authority to sign agreements/contracts and to take court action, in the capacity of either plaintiff or defendant. He may also give power of attorney.
 
The Vice-president aids the President in all his tasks. He stands in for the President in the event of the latter's absence.

The Secretary General assists the President in representing the society in acts of civil life. He has full power to receive and open letters sent by registered post. He keeps the special register as required by the law and ensures that all necessary formalities are carried out. He helps the President in his administrative duties.

The Treasurer is responsible for the management of the Society's assets. He makes all the payments and collects all the Society's receipts. He is supervised in this role by the President. He keeps regular records of all financial transactions. He presents the annual accounts before the General Meeting and helps draw up the budget.

The General Meeting may designate one or more Honorary Presidents without any specific powers or responsibilities.

 

Article 10 - Assistants
Assistants contribute actively towards the smooth running of the society. They occupy a specific post and are answerable to the Executive Board.

They are chosen by the Board, subject to approval by a simple majority of members. Members of the Executive Board may also carry out the duties of an assistant.

One of the assistants is responsible for secretarial duties. He manages the members database and is the first contact for members.

 

Article 11 – The General Meeting
The General Meeting is convened by the Executive Board or the President, who is responsible for drawing up the agenda.

The General Meeting brings together all members. It is chaired by the President.

Ordinary General Meetings are convened at least once a year. A report on the management of the Society and its financial situation is presented during the meeting.

This meeting approves the actions and the accounts of the financial year just ended and debates other questions on the agenda.

In the event that new Board members are to be chosen, the meeting will do so.

The decisions of the ordinary General Meeting are approved by simple majority of the active members who are present or represented at the meeting.

Extraordinary General Meetings are convened in order to discuss modifications to the articles of association. A two thirds majority of active members present or represented at the meeting is needed to approve decisions.

 

Article 12 - Dissolution - Liquidation
A decision to dissolve the society may be taken by an extraordinary General Meeting.

A liquidator must then be appointed, subject to approval by a simple majority of honorary and active members present or represented at the meeting.

The dissolution and liquidation procedures will be carried out in accordance with the Law.
